Partner Terms & Conditions

These Terms & Conditions (“Terms”) govern the relationship between NSJ Wellness Lifestyles Private Limited (UEN 202231711M), a company incorporated in Singapore with its registered office at 435 Orchard Road #11-00 Wisma Atria Singapore 238877 (“Company”), and its appointed partners (“Partner”) for the sale, marketing, and distribution of the Company’s products.

By entering into the Partner Agreement and utilizing the Company’s systems and platforms, the Partner agrees to be bound by these Terms.

1. Partner Eligibility and Onboarding

1.1 Eligibility Criteria:

To qualify as a Partner, applicants must:

  • Be a registered business entity or tax individual in Singapore or other approved territories.
  • Provide accurate and complete information during the application process.
  • Comply with all applicable laws and regulations.

1.2 Onboarding Process:

Upon approval, the Partner will receive access credentials to the Company’s partner portal. The Partner is responsible for maintaining the confidentiality of their login information and for all activities that occur under their account.

2. Product Ordering and Fulfillment

2.1 Ordering Process:

Partners shall place orders through the Company’s designated ordering system. All orders are subject to acceptance by the Company.

2.2 Pricing:

Product prices are determined by the Company and are subject to change with prior notice. Prices exclude applicable taxes and shipping fees unless otherwise stated.

2.3 Order Fulfillment:

The Company will make reasonable efforts to fulfill orders promptly. In the event of stock unavailability, the Company may offer alternative products or backorder options.

3. Payment Terms

3.1 Payment Obligations:

Partners agree to pay all invoiced amounts within the payment terms specified in the invoice. Late payments may incur interest charges as stipulated in the Partner Agreement.

3.2 Taxes:

Partners are responsible for all applicable taxes, including but not limited to Goods and Services Tax (GST), unless a valid exemption certificate is provided.

4. Marketing and Promotion

4.1 Use of Marketing Materials:

The Company may provide marketing materials to the Partner. The Partner agrees to use these materials in accordance with the Company’s guidelines and not to alter them without prior written consent.

4.2 Promotional Activities:

Any promotional activities undertaken by the Partner must be pre-approved by the Company to ensure brand consistency and compliance with applicable laws.

5. Confidentiality and Data Protection

5.1 Confidential Information:

The Partner agrees to maintain the confidentiality of all proprietary information received from the Company and not to disclose such information to any third party without prior written consent.

5.2 Data Protection:

Both parties shall comply with applicable data protection laws. The Company’s Privacy Policy, outlines how personal data is collected, used, and protected.

6. Returns and Refunds

6.1 Return Policy:

Returns are subject to the Company’s Return Policy, which allows for the return of defective or damaged products within 7 days of receipt. Products must be returned in their original packaging.

6.2 Refunds:

Approved refunds will be processed within 10 business days. The Company reserves the right to refuse refunds for products that do not meet the return criteria.

7. Termination

7.1 Termination Rights:

Either party may terminate the partnership with 30 days’ written notice. The Company may terminate the partnership immediately for cause, including but not limited to breach of these Terms or applicable laws.

7.2 Post-Termination Obligations:

Upon termination, the Partner shall cease all use of the Company’s trademarks and return any confidential information or materials provided by the Company.

8. Limitation of Liability

To the extent permitted by law, the Company’s liability under these Terms shall be limited to direct damages not exceeding the total amount paid by the Partner to the Company in the 3 months preceding the claim.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising out of or in connection with these Terms shall be resolved through good faith negotiations. Failing which, the parties agree to submit to the non-exclusive jurisdiction of the courts of Singapore.
